The following Terms and Conditions apply to your use of Utica National's Risk Management Center (herein referred to as the Center) site and, as appropriate, to Company information, records, documents, etc. Please read them carefully. By using the Center, you agree to these Terms and Conditions:

1. For your protection in communicating through the Center, Company uses encryption technology. At the same time, user IDs and passwords are also critical elements in maintaining data security and confidentiality. You are responsible for maintaining the security and confidentiality of your user ID and password. Utica shall not be responsible for any damages or loss resulting from any breach of security caused by your failure to maintain the confidentiality of your user ID and/or password.
2. The data and information provided by the Center are provided on an "as is," "as available" basis, without warranties of any kind. You understand that Utica strives to ensure the accuracy of the information provided in connection with the Center. If inaccuracies do occur, Utica will take reasonable steps to correct any such errors or omissions.
3. Utica shall have no liability to you or any third party for damages arising out of or in connection with the operation, performance, or access to the Center.
4. No material (including but not limited to text, images, and programming code) from the Center or any website owned and operated by the Utica National Insurance Group may be copied, reproduced, republished, uploaded, posted, transmitted, hyperlinked, distributed in any way, nor used for public or commercial purposes that is inconsistent with such use without express written permission from the Utica National Insurance Group.
5. Information pertaining to your account generally is updated as of the last business day (unless otherwise noted) and is subject to correction.
6. Utica reserves the right to block access to the Center at any time for security, maintenance, backup purposes, and/or for cause.
7. Utica reserves the right to terminate this Agreement and with it, access to the Center, at any time for cause, or on at least 10 days notice to you. Utica may, in its sole discretion, allow limited access to the Center as Utica deems appropriate. Where such limited access to the Center is granted, the terms and conditions of this Agreement shall continue to apply.
8. Utica may provide links from the Center to sites maintained by third parties. Such links do not constitute Utica's endorsement, sponsorship or recommendation of any linked site, or the contents, service, or products offered through such site and that Utica does not control the security, data collection and data use practices of the linked sites and is not responsible for such practices or any damages caused by use of third party sites.
9. Utica may amend or change these Terms and Conditions at any time. Your continued use of the Center after any such amendment or change shall constitute acceptance by you of such change or amendment.
10. This Agreement shall be construed in accordance with the laws of the State of New York.
