The member companies of the Utica National Insurance Group(1) (“Utica”) are pleased to provide you with the information, content, tools, products and services for Utica’s Online Software Applications (“Online Applications”). The Terms apply to your use of the Online Applications and, as appropriate, to Utica information, records, documents, etc. The Terms are a binding agreement between you and Utica. By using or accessing the Online Applications, you accept and agree to be bound by these Terms. Your use of the Online Applications is governed by the version of the Terms in effect on the date you accessed the Online Applications. Utica may modify these Terms at any time and without prior notice. You should review the most current version of these Terms by visiting the Online Applications and clicking on the Terms of Use hyperlink located at the bottom of the home page. Please read these carefully. These Terms are in addition to any other agreements between you and Utica, and any other agreements that govern your use of information, content, tools, products and services available on and through the Online Applications.

Terms and Conditions

1. For your protection in communicating through the Online Applications, Utica uses encryption technology. At the same time, user IDs and passwords are also critical elements in maintaining data security and confidentiality. You are responsible for maintaining the security and confidentiality of your user ID and password. Utica shall not be responsible for any damages or loss resulting from any breach of security caused by your failure to maintain the confidentiality of your user ID and/or password.
2. THE DATA AND INFORMATION PROVIDED BY THE ONLINE APPLICATIONS ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND. YOU UNDERSTAND THAT UTICA STRIVES TO ENSURE THE ACCURACY OF THE INFORMATION PROVIDED IN CONNECTION WITH THE ONLINE APPLICATIONS. IF INACCURACIES DO OCCUR, UTICA WILL TAKE REASONABLE STEPS TO CORRECT ANY SUCH ERRORS OR OMISSIONS.
3. AS A CONDITION OF YOUR USE OF THE ONLINE APPLICATIONS, YOU AGREE TO INDEMNIFY AND HOLD UTICA HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, COSTS AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEYS’ FEES) ARISING FROM YOUR USE OF THE ONLINE APPLICATIONS OR FROM YOUR VIOLATION OF THESE TERMS.
4. Utica shall have no liability to you or any third party for damages arising out of or in connection with the operation, performance, or access to the Online Applications.
5. No material (including but not limited to text, images, and programming code) from the Online Applications or any website owned and operated by Utica may be copied, reproduced, republished, uploaded, posted, transmitted, hyperlinked, distributed in any way, nor used for public or commercial purposes that is inconsistent with such use without express written permission from Utica.
6. Information pertaining to your account generally is updated as of the last business day (unless otherwise noted) and is subject to correction.
7. Utica reserves the right to block access to the Online Applications at any time without prior notice, for security, maintenance, backup purposes, and/or may terminate your access to the Online Applications for any reason, without prior notice.
8. Utica may discontinue or modify the Online Applications at any time without prior notice to you, and you accept those modifications if you continue to use the Online Applications.
9. Utica may provide links from the Online Applications to sites maintained by third parties. Such links do not constitute Utica's endorsement, sponsorship or recommendation of any linked site, or the contents, service, or products offered through such site and that Utica does not control the security, data collection and data use practices of the linked sites and is not responsible for such practices or any damages caused by use of third party sites.
10. This Agreement shall be construed in accordance with the laws of the State of New York.
11. If a court of competent jurisdiction deems any provision unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
